In my International Corporate and Commercial Law practice, I advise business entities which are involved in commercial activities with another country. This may include importing and exporting, investing, joint ventures, manufacture of a product, technology licensing or other commercial or financial arrangements.  

Utilizing my extensive cross-cultural experience as an international lawyer having lived in Europe and Asia, my representation is designed to avoid legal problems, accomplish objectives in the best way and foster good and long term relations with business colleagues in other cultures. 

International Law can be divided in two main categories:

  • Public International Law involves treaties between governments, including those governing trade and travel between countries; decisions or regulations of the European Union and actions of international organizations like the UN and World Trade Organization; decisions of international courts like the International Court of Justice; and other laws that are either created by more than one national government or by an international organization or recognized international entity which have impact beyond one nation.
  • Private International Law includes national laws of a country which apply to anyone, resident or not, operating there, and also to its citizens and the companies established there in their international activities.  It includes rules for determining what law applies when more than one country's law could apply, that is a field of law called "conflict of laws." Typical examples of private international law are laws controlling foreign investment in a country or its trade laws.

Much of my work involves Private International Law, that is local law that controls how companies are set up, how contracts are established, and trade regulated. However anyone in international business may also be affected by Public International Law, so it is important for your counsel to be familiar with this area of law as well.

International Mediation and Domestic Mediation

Mediation provides a venue for the parties to come together to present the facts and issues and to reach an agreement.  The Mediator is not a judge or arbitrator.  My role as Mediator is to provide a venue where necessary discussion can occur, to ensure necessary information is made available and understood and to support the parties in reaching an agreement. I will also write up the agreement / contract for them to sign.

In International Mediation, I assist in overcoming cultural difficulties and misunderstandings between the parties. I facilitate the structuring of a resolution so it will be understood within the framework of the cultures of the parties.  

Non-profit Organizations

Non-profit organizations are either corporations or trusts.  They may be membership organizations or not. Many of the principles that apply to corporations may apply to them, however, there is an additional body of law about non-profit organizations at the state and federal levels which applies to their establishment, operations, dissolution and annual reporting obligations. I have been active in this field of law for 15 years.  

My service includes establishing non-profit entities under state law and obtaining approval by the IRS. I advise you regarding board matters, employment matters and operations.

Licensing Intellectual Property

A company which owns intellectual property (IP), whether registered patents, trademarks and copyrights, or unregistered IP including confidential technology, will want to protect its property. An important part of that is establishing the terms whereby another entity or person is authorized to use the intellectual property. Often this is done by a licensing agreement. I am an expert in the preparation and negotiation of such agreements having done them in over 40 countries. I also prepare joint research and development agreements which may include international arrangements.
